Dear Noah,

You referred to an email about "The 2025 AFRINIC Elections Updates: 
Appointment of Election Committee" which was sent on or around 18 
July.  I could not find the email in the "announce" mailing list archive.

The 2016 version of the Bylaws stated that the Nomination Committee 
consists of a chairman and three other members.  I presented the last 
amendments to the Bylaws in 2020.  The membership were not asked to 
approve a change to the number of members on the Nomination Committee 
[1].  One of the potential issues is whether a change in the number 
of members would be viewed an alteration to the bylaws.  Is the 
employee of an entity allowed to alter its bylaws?  Is the governing 
body of an entity allowed to alter its bylaws?  I gather that the 
questions are also applicable where you (or anyone else) work.

The following is from the NRO EC teleconference: "NM shared that the 
Official Receiver has until June to hold elections for the AFRINIC 
board. The OR has informed members that the election will be 
conducted per the bylaws." [2]

There was a letter dated 16 July from the President and Chief 
Executive Officer of ICANN to the Minister of Information Technology, 
Communication and Innovation, Republic of Mauritius [3].  One of the 
actions proposed to "provide the AFRINIC membership with information 
and access that they lacked in the stalled election" was:

   "Committing that any person or entity that the Receiver will bring in to
    support the election process will provide a publicly available declaration
    of non-affiliation (personal, professional, financial) with any litigant
    against AFRINIC or entity promoting participation in the AFRINIC election;
    and without any other interest that may affect the individual's interest
    on any matters to be considered by AFRINIC."

I would be unable to form an opinion on whether there could be a 
conflict of interest given the lack of information.  It might be 
similar for some representatives of resource members.
